### Terms of use

The rules that apply when you use our website and our tools, and who answers for what.

Talk to us

#### Agreement to these terms

We are Inocta Robotic Technologies Inc., doing business as inocta.io ("inocta.io", "we", "us" or "our"). We are a company registered in Canada, with our head office in Toronto, Ontario.

These Terms of Use apply to our website https://inocta.io and to our related products and services that link to these terms (together, the "Services"). They cover our tools, including IO Pulse, IO Matrix and IO Process.

inocta.io provides online tools and services that help organizations understand and structure their operations before they adopt AI. IO Pulse is a team survey that a company runs with us. Team members take part with a company code that we provide. IO Matrix maps a company by value flow. It is a workshop tool for clients in an inocta.io engagement, reached by invitation with a company code and a work email that we register. IO Process lets you document your processes in BPMN format. Your process map stays on your device, and we do not receive it unless you choose to send it to us. You do not need an account, and you pay nothing online to use these tools.

These terms are a legally binding agreement between you, as an individual or on behalf of an organization ("you"), and Inocta Robotic Technologies Inc. When you use the Services, you accept these terms. If you do not accept them, do not use the Services.

We can change these terms at any time. When we do, we update the "Last updated" date at the top of this page. We do not send individual notices, so check this page from time to time. If you continue to use the Services after a change, you accept the new terms. Other rules or documents that we post on the Services are part of these terms.

The Services are for people who are 18 or older.

We recommend that you keep a copy of these terms.

#### 1. Our Services

The Services are not intended for use in any country where that use would break local law or require us to register there. If you use the Services from outside Canada, you do so on your own initiative, and you are responsible for following local laws.

The Services are not designed to meet industry-specific rules, such as the HIPAA, FISMA or GLBA rules in the United States. If those rules apply to your use, do not use the Services.

#### 2. Intellectual property

Our intellectual property. We own, or hold a licence to, all intellectual property in the Services. This includes the source code, databases, features, software, website design, audio, video, text, photographs and graphics (the "Content"), and our trademarks, service marks and logos (the "Marks"). Copyright, trademark and other intellectual property laws and treaties in Canada, the United States and around the world protect them. Some icons on the Services come from the Noun Project (thenounproject.com) and are used under our paid licence.

Your use of the Services. If you follow these terms, including section 4 (Prohibited activities), we give you a non-exclusive, non-transferable and revocable licence to:

- access the Services
- download or print a copy of the Content that you have properly accessed

You may do this for your internal business purposes only. The Content and the Marks are provided "as is".

You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license or otherwise use any part of the Services, the Content or the Marks for a commercial purpose without our written permission. For any other use, write to dpo [at] inocta.io. If we give you permission to post, reproduce or display any of our Content, you must name us as the owner or licensor and keep every copyright and proprietary notice visible.

We keep all rights that these terms do not expressly give you. A breach of these intellectual property rules is a material breach of these terms, and your right to use the Services ends immediately.

Your submissions. If you send us a question, comment, suggestion, idea or feedback about the Services (a "Submission"), you assign to us all intellectual property rights in it. We own it, and we can use and share it for any lawful purpose, commercial or not, without credit or payment to you.

When you send us a Submission, you:

- confirm that you have read section 4 and that the Submission is not illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful or misleading
- waive your moral rights in it, to the extent the law allows
- confirm that it is original, or that you hold the rights and licences to send it and to give us these rights
- confirm that it does not contain confidential information

You are responsible for your Submissions. You agree to repay us for any loss caused by your breach of this section, of a third party's intellectual property rights or of the law.

#### 3. User representations

- use the Services to compete with us, or use the Services or the Content for a revenue-generating activity or commercial enterprise
- use the Services to advertise or offer to sell goods or services
- copy or reproduce the inocta.io questionnaires, methods or frameworks to offer a competing product or service

#### 5. User contributions

Some Services let you send us content ("Contributions"). For example: your answers to an IO Pulse survey, the information about your processes that you enter in an IO Matrix workshop (including the names and work emails of the colleagues accountable for them), and the video and map file that you choose to send us with the IO Process "Build my map" feature. We treat Contributions under our Privacy Policy. We keep a "Build my map" video and map file only as long as we need them to build and deliver your map.

When you send a Contribution, you confirm that:

- it does not infringe any right of a third party, including copyright, patent, trademark, trade secret or moral rights
- you created and own it, or you hold the licences, rights, consents and permissions that let us use it as these terms describe
- you have the written consent of every identifiable person in it to use their name or likeness
- you are allowed to share with us the names, work emails and images of the other people it includes, and those people know that you share them with us
- it is not false, inaccurate or misleading
- it is not unsolicited advertising, promotional material, a pyramid scheme, a chain letter, spam or another form of solicitation
- it is not obscene, lewd, violent, harassing, libellous, slanderous or otherwise objectionable, as we determine
- it does not ridicule, mock, disparage, intimidate or abuse anyone
- it is not used to harass or threaten anyone, or to promote violence against a person or a group
- it does not break any law, regulation or rule
- it does not violate the privacy or publicity rights of a third party
- it does not break any law about child sexual abuse material or about the protection of minors
- it does not include offensive comments about race, national origin, gender, sexual orientation or disability
- it does not otherwise break these terms or any law, and it does not link to material that does

If you use the Services in breach of this section, we can, among other things, end or suspend your right to use the Services.

#### 6. Contribution licence

We can access, store, process and use the information and personal data that you give us, as our Privacy Policy describes and according to your choices.

If you send us suggestions or feedback about the Services, we can use and share them for any purpose without payment to you.

We do not claim ownership of your Contributions. You keep full ownership of them and of all intellectual property rights in them. We are not responsible for any statement or representation in your Contributions. You are responsible for your Contributions, and you agree to release us from all responsibility for them and not to take legal action against us about them.

#### 7. Third-party websites and content

The Services can contain links to other websites ("Third-Party Websites") and content from third parties, such as articles, photographs, text, graphics, designs, music, sound, video, information, applications and software ("Third-Party Content"). We do not investigate, monitor or check them for accuracy, suitability or completeness. We are not responsible for them, including their content, accuracy, opinions, reliability, privacy practices or other policies. A link or an inclusion does not mean that we approve or endorse them.

If you leave the Services to go to a Third-Party Website or to use Third-Party Content, you do so at your own risk, and these terms no longer apply. Read the terms and policies of those websites, including their privacy practices. Any purchase that you make on a Third-Party Website is between you and that third party, and we have no responsibility for it. We do not endorse the products or services offered on Third-Party Websites. You agree that we are not responsible for any harm or loss caused by such a purchase, by Third-Party Content or by your contact with a Third-Party Website.

#### 8. Services management

We have the right, but not the obligation, to:

- monitor the Services for breaches of these terms
- take legal action against anyone who, in our sole discretion, breaks the law or these terms, including reporting them to law enforcement
- in our sole discretion, refuse, restrict, limit or disable (where technically possible) any of your Contributions
- in our sole discretion, and without notice or liability, remove or disable files and content that are too large or that burden our systems
- otherwise manage the Services to protect our rights and property and to keep the Services working properly

#### 9. Privacy policy

We care about data privacy and security. Read our Privacy Policy. When you use the Services, you accept our Privacy Policy, which is part of these terms.

The Services are hosted in the United States. Some data passes through service providers in other countries, as our Privacy Policy describes. If you use the Services from outside the United States, you transfer your data to the United States and to those countries, and you consent to its transfer and processing there.

#### 10. Term and termination

These terms apply while you use the Services. WITHOUT LIMITING ANY OTHER PART OF THESE TERMS, WE CAN, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ANY PERSON ACCESS TO OR USE OF THE SERVICES (INCLUDING BY BLOCKING IP ADDRESSES), FOR ANY REASON OR FOR NO REASON, INCLUDING A BREACH OF THESE TERMS OR OF ANY LAW. WE CAN END YOUR USE OF THE SERVICES, OR DELETE ANY CONTENT OR INFORMATION THAT YOU POSTED, AT ANY TIME AND WITHOUT WARNING.

If we end or suspend your use of the Services, you may not use them again under your name, under a false or borrowed name or under the name of a third party. We can also take legal action, including civil, criminal and injunctive remedies.

#### 11. Changes and interruptions

We can change, modify or remove the content of the Services at any time, for any reason and without notice. We have no obligation to update the information on the Services. We are not liable to you or to anyone else for any change, suspension or end of the Services.

We cannot guarantee that the Services are always available. Hardware, software or other problems, or maintenance, can cause interruptions, delays or errors. We can change, suspend or stop the Services at any time, for any reason and without notice. We are not liable for any loss, damage or inconvenience caused by your inability to access or use the Services during downtime or after we stop them. Nothing in these terms obliges us to maintain or support the Services, or to supply corrections or updates.

#### 12. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and Inocta Robotic Technologies Inc. agree that the courts of Ontario have exclusive jurisdiction over any dispute about these terms.

#### 13. Dispute resolution

You agree to submit all disputes about these terms, or about the relationship that they create, to the courts of Ontario, Canada. Inocta Robotic Technologies Inc. also keeps the right to start proceedings in the courts of the country where you live or, if you accepted these terms in the course of your business or profession, in the courts where your business has its principal place of business.

#### 14. Corrections

The information on the Services can contain typographical errors, inaccuracies or omissions, including in descriptions and availability. We can correct them, and we can change or update the information at any time without notice.

#### 15. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". YOU USE THE SERVICES AT YOUR OWN RISK. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, ABOUT THE SERVICES AND YOUR USE OF THEM, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE MAKE NO WARRANTY ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT OF THE SERVICES OR OF ANY WEBSITE OR APPLICATION LINKED TO THEM. WE ARE NOT LIABLE OR RESPONSIBLE FOR:

- ERRORS, MISTAKES OR INACCURACIES IN CONTENT AND MATERIALS
- PERSONAL INJURY OR PROPERTY DAMAGE OF ANY KIND THAT RESULTS FROM YOUR ACCESS TO OR USE OF THE SERVICES
- UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS, OR OF ANY PERSONAL OR FINANCIAL INFORMATION STORED ON THEM
- ANY INTERRUPTION OR STOP OF TRANSMISSION TO OR FROM THE SERVICES
- BUGS, VIRUSES, TROJAN HORSES OR SIMILAR ITEMS THAT A THIRD PARTY TRANSMITS TO OR THROUGH THE SERVICES
- ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS, OR ANY LOSS OR DAMAGE THAT RESULTS FROM THE USE OF ANY CONTENT POSTED, TRANSMITTED OR MADE AVAILABLE THROUGH THE SERVICES

WE DO NOT WARRANT, ENDORSE, GUARANTEE OR TAKE RESPONSIBILITY FOR ANY PRODUCT OR SERVICE THAT A THIRD PARTY ADVERTISES OR OFFERS THROUGH THE SERVICES, A LINKED WEBSITE, OR ANY BANNER OR OTHER ADVERTISING. WE ARE NOT A PARTY TO, AND WE DO NOT MONITOR, ANY TRANSACTION BETWEEN YOU AND A THIRD-PARTY PROVIDER. USE YOUR BEST JUDGEMENT AND BE CAREFUL WHERE APPROPRIATE.

#### 16. Limitation of liability

IN NO EVENT ARE WE, OR OUR DIRECTORS, EMPLOYEES OR AGENTS, LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE OR LOST DATA, THAT RESULT FROM YOUR USE OF THE SERVICES, EVEN IF WE KNEW THAT SUCH DAMAGES WERE POSSIBLE. DESPITE ANYTHING ELSE IN THESE TERMS, OUR TOTAL LIABILITY TO YOU, FOR ANY CAUSE AND IN ANY FORM OF ACTION, IS LIMITED TO $100.00 CAD. SOME LAWS, IN SOME US STATES AND IN OTHER COUNTRIES, DO NOT ALLOW LIMITS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF SOME DAMAGES. IF THOSE LAWS APPLY TO YOU, SOME OR ALL OF THESE LIMITS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

#### 17. Indemnification

You agree to defend, indemnify and hold harmless us, our subsidiaries and affiliates, and all of our officers, agents, partners and employees, against any loss, damage, liability, claim or demand, including reasonable legal fees and costs, that a third party makes because of:

- your use of the Services
- your breach of these terms
- a breach of your representations and warranties in these terms
- your violation of the rights of a third party, including intellectual property rights
- any obviously harmful act toward another user of the Services with whom you connected through the Services

We can, at your expense, take exclusive control of the defence of any matter for which you must indemnify us. You agree to cooperate with that defence at your expense. We will make reasonable efforts to tell you about any such claim, action or proceeding when we become aware of it.

#### 18. User data

We keep some of the data that you send us through the Services, and data about your use of the Services, so that we can provide and manage them. The IO Process app stores nothing on our side: your map stays on your device until you choose to send it to us. We back up the data that we store, but you are responsible for keeping your own copy of the data that you send us and of your own files. We are not liable to you for any loss or corruption of that data, and you waive any right of action against us for it.

#### 19. Electronic communications, transactions and signatures

When you visit the Services, send us email or complete online forms, you communicate electronically. You consent to receive electronic communications. You agree that all agreements, notices, disclosures and other communications that we send you electronically, by email or on the Services, meet any legal requirement for written communication. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS AND OTHER RECORDS, AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES AND RECORDS OF TRANSACTIONS THAT WE START OR COMPLETE, OR THAT ARE COMPLETED THROUGH THE SERVICES. You waive any right or requirement, under any law in any jurisdiction, for an original signature, for the delivery or retention of non-electronic records, or for payments or credits by any means other than electronic means.

#### 20. California users and residents

If we do not resolve a complaint to your satisfaction, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

#### 21. Miscellaneous

These terms, and any policies or operating rules that we post on or about the Services, are the entire agreement between you and us. If we do not exercise or enforce a right or provision of these terms, we do not waive it. These terms apply to the fullest extent the law allows. We can assign any or all of our rights and obligations to others at any time. We are not responsible or liable for any loss, damage, delay or failure to act caused by events outside our reasonable control. If a court finds that a provision, or part of a provision, is unlawful, void or unenforceable, that part is separated from these terms, and the rest stays valid and enforceable. These terms do not create a joint venture, partnership, employment or agency relationship between you and us. These terms will not be interpreted against us because we drafted them. You waive any defence based on the electronic form of these terms or on the fact that the parties did not sign them.

#### 22. Results and use of AI

IO Pulse, IO Matrix and IO Process give results that help you understand and organize your operations. These results are a guide for your own decisions. They are not legal, financial, tax or other professional advice. Some features use artificial intelligence. AI output can contain errors, so check it before you rely on it. Our AI Disclaimer explains how we use AI.
